Reforms in the Brazilian Asset Management Industry: From Tax to Regulatory, an Agenda for Change

2023 was a landmark year for the Brazilian asset management industry. The CVM Resolution 175, issued by the Brazilian Securities and Exchange Commission, came into effect, introducing substantial changes to the regulatory framework for investment funds in Brazil. The key aspects of this resolution include limited liability of quotaholders, segregated classes of quotas, insolvency proceedings for investment funds, responsibilities of fiduciary administrators and portfolio managers, investment in offshore assets and cryptoassets, flexible options for investments, and the incorporation of the Economic Freedom Law, among others. Additionally, the adoption of Law 4754/23 brings significant changes to the taxation of offshore investments and trusts, as well as investment funds, aiming to streamline tax regulations and bring more clarity to investors and stakeholders involved. The key aspects of this law include periodic “come-cotas” taxation, taxation on income distribution, and loss offsetting.
