NEW YORK — Kroll has published its latest "Brazil Transactions Insights" report, examining M&A activity, capital markets, and investment trends in Brazil during the first half of 2026.
Brazil registered 421 M&A transactions in H1 2026, down 33.5% from 633 a year earlier. Brazilian investors led dealmaking (72.3% of transactions vs. 27.7% international), with strategic players (68.9%) outpacing financial sponsors (31.1%). Six follow-on offerings raised BRL 14.5 billion (USD 2.9 billion), and Compass completed Brazil's first IPO in over four years; fintechs PicPay and Agibank also filed for U.S. IPOs on Nasdaq and the NYSE, respectively. B3's total market capitalization reached USD 949.6 billion across 387 companies.
Among foreign investors in Brazil, Europe led with 32.8%, followed closely by the United States at 29.3%. Software/IT led all sectors with a 15.7% share of transactions, part of a broadly multisectoral, multiregional deal environment. The year's largest deal: USA Rare Earth's acquisition of Serra Verde (Pela Ema rare earth mine, Goiás) for BRL 14 billion (USD 2.8 billion).
